Terms of Use

These Terms of Use (“Terms”) govern access to and use of the Zarrow platform, website, products, services, tools, workflows, communications, and related offerings made available by Zarrow Technologies Private Limited (“Zarrow”, “we”, “us” or “our”).

In these Terms, “you” and “your” refer to the person or entity accessing, registering for, accepting, or using Zarrow. Where a person uses Zarrow on behalf of a company, agency, firm, partnership, or other entity, “you” and “your” refer to that entity as well, unless the context requires otherwise.

These Terms constitute a legally binding agreement between you and Zarrow Technologies Private Limited.

By accessing, registering for, or using Zarrow in any manner, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use Zarrow.

These Terms apply to all users of Zarrow, including employers, recruiters, candidate referrers, candidates, and any person or entity accessing or using the platform. Role-specific terms, and additional terms and conditions may apply depending on how you use Zarrow.

These Terms incorporate by reference Zarrow's Privacy Policy, Ground Rules, and Referral Policies, Employer Agreements, Recruiter Agreements, and any other written terms or conditions made applicable to your use of Zarrow.

This document is an electronic record under the Information Technology Act, 2000 and the rules made thereunder, as amended from time to time. It is generated electronically and does not require any physical, electronic, or digital signature.

Definitions

In these Terms, unless the context requires otherwise:

  • “Guarantee Period” means the period stated for a Job Post or Candidate Placement during which the placement remains subject to replacement, refund, credit, clawback, payout withholding, payout adjustment, or recovery if the Candidate does not join, leaves, is terminated, or otherwise ceases employment.
  • Candidate” means an individual who is considered, referred, submitted, assessed, contacted, interviewed, or hired in connection with a hiring requirement made available through Zarrow.
  • Candidate Referral” means a candidate profile, resume, introduction, recommendation, submission, or related candidate information shared through or in connection with Zarrow for a specific Job Post.
  • “Employer” means a company, organisation, founder, hiring team, or authorised representative that uses Zarrow to share hiring requirements, receive candidate referrals, evaluate candidates, or obtain recruitment-related services.
  • Job Post” means a role, hiring requirement, vacancy, mandate, position, brief, or opportunity made available through or in connection with Zarrow.
  • Recruiter” means an independent recruiting professional, agency, sourcer, consultant, referrer, or other approved person or entity that uses Zarrow to access roles, refer candidates, submit candidates, or participate in recruitment-related workflows.
  • User” means any person or entity that accesses or uses Zarrow, including Employers, Recruiters, Candidates, Candidate Referrers, and authorised representatives.
  • User Content” means any information, material, data, document, resume, profile, candidate information, job post, recruiter note, message, feedback, file, attachment, communication, or other content submitted, uploaded, transmitted, stored, or made available by a User through or in connection with the Platform.

1. Account Registration, Eligibility and Access

1. Access to Zarrow may require registration, onboarding, verification, approval, or continued eligibility checks. Zarrow may accept, reject, suspend, limit, or withdraw access to any account or user where it considers this necessary or appropriate for platform quality, compliance, security, business, or operational reasons.

2. Registration, onboarding, invitation, prior approval, or previous use of Zarrow does not create any right to continued access, role access, recruiter approval, employer approval, or participation in any workflow.

3. You must provide accurate, complete, and current information when creating an account, completing onboarding, submitting verification details, providing billing or tax information, or otherwise interacting with Zarrow. You must promptly update such information if it changes.

4. You must not create an account using false details, another person’s identity, an unauthorised name, or information that you do not have the right to use. You must not transfer, sell, share, or assign your account or platform access without Zarrow’s prior written approval.

5. If you access or accept these Terms on behalf of a company, agency, firm, partnership, or other entity, you represent that you have authority to bind that entity. The entity shall be responsible for all use of Zarrow by its authorised users, representatives, employees, contractors, and personnel.

6. You are responsible for ensuring that only authorised persons access or use your account or organisation workspace. You must promptly remove access for any person who is no longer authorised to use Zarrow on your behalf.

7. You are responsible for maintaining the confidentiality and security of your login credentials, devices, access methods, connected accounts, and authorised users. Zarrow may treat any action taken through your account or organisation workspace as authorised by you, unless Zarrow determines otherwise.

8. You must promptly notify Zarrow if you become aware of any unauthorised access, suspected compromise, security incident, or misuse involving your account, credentials, connected accounts, or organisation workspace.

9. Zarrow may allow login or access through third-party services such as Google, LinkedIn, or other identity providers. Your use of such third-party login methods may be subject to the terms and privacy practices of those providers.

10. Zarrow is intended for users who are legally competent to enter into binding contracts. Persons below 18 years of age must not register for, access, or use Zarrow.

11. Zarrow does not knowingly collect or solicit personal information from persons below 18 years of age. If Zarrow becomes aware that a person below 18 has accessed Zarrow or provided personal information, Zarrow may delete such information, restrict access, and take any other appropriate action in accordance with applicable law.

12. By creating an account or using Zarrow, you agree that Zarrow may send you service, transactional, administrative, legal, security, and platform-related communications through email, phone, messaging applications, in-product notifications, or other contact details provided by you, subject to applicable law.

2. Nature of Zarrow’s Platform

1. Zarrow operates a technology-enabled recruitment platform that helps Employers fill hiring requirements through Zarrow’s platform, recruiter network, workflows, and related services. Employers may use Zarrow to share hiring requirements and receive Candidate Referrals, and Candidates or Recruiters may use Zarrow to access eligible roles and submit Candidate Referrals.

2. Zarrow’s role is limited to providing and operating the Platform, related recruitment workflows, and any recruitment support expressly made available by Zarrow. It is important to note that Zarrow expressly states that is does not have a duty for determining whether any Employer is suitable for a Candidate, whether any Candidate is suitable for an Employer or Job Post, or whether any Recruiter, Candidate Referral, Job Post, credential, employment history, compensation detail, consent, communication, or other information made available through the Platform is accurate, complete, lawful, reliable, or up to date.

3. Each User remains responsible for its own information, actions, omissions, decisions, communications, obligations, and compliance. Zarrow does not control the conduct of Employers, Recruiters, Candidates, or other Users, and does not guarantee the accuracy, completeness, legality, reliability, or suitability of any information, User Content, User, Candidate, Candidate Referral, Job Post, interview, offer, joining, retention, payment, payout, reward, or hiring outcome.

3. Acceptable Use and Prohibited Conduct

You must use Zarrow only for lawful recruitment-related purposes and in accordance with these Terms, applicable agreements, platform policies, and applicable law including copyright laws:

You must not, directly or indirectly:

  1. use Zarrow in a false, misleading, fraudulent, unlawful, dangerous, harmful, abusive, threatening, harassing, defamatory, obscene, discriminatory, or otherwise objectionable manner;
  2. infringe, misappropriate, or violate any intellectual property, privacy, confidentiality, publicity, contractual, employment, data protection, or other rights of Zarrow, any User, Candidate, Employer, Recruiter, or third party;
  3. submit, upload, share, or transmit any information, Candidate Referral, Job Post, communication, file, or material that is false, misleading, unauthorised, unlawful, infringing, confidential, sensitive, or otherwise not permitted to be shared by you;
  4. impersonate any person or entity, misrepresent your authority, identity, affiliation, experience, credentials, candidate consent, candidate interest, hiring requirement, compensation detail, or relationship with any Candidate, Employer, Recruiter, or third party;
  5. interfere with, disrupt, overload, damage, disable, compromise, or attempt to gain unauthorised access to Zarrow, any account, workspace, system, network, data, password, credential, encryption measure, or security feature;
  6. seek, collect, obtain, solicit, or use any password, login credential, account access, security information, or authentication method belonging to another person or account;
  7. scrape, extract, copy, store, download, harvest, crawl, monitor, or commercially exploit Zarrow, Platform Data, User Content, candidate information, job information, recruiter information, employer information, pricing, workflows, dashboards, or other platform materials, except as expressly permitted by Zarrow;
  8. reverse engineer, decompile, disassemble, modify, translate, reproduce, resell, sublicense, create derivative works from, or attempt to derive source code, underlying ideas, underlying logic, systems, models, workflows, or non-public information relating to Zarrow;
  9. use Zarrow, Platform Data, User Content, candidate information, job information, recruiter information, employer information, or platform workflows to build, train, improve, operate, support, or assist any competing product, service, marketplace, recruitment business, database, model, or similar offering;
  10. send spam, unsolicited messages, automated requests, auto-responders, deceptive communications, malware, harmful code, or any content or process that disrupts, intercepts, damages, overloads, or interferes with Zarrow, any system, or any User;
  11. use Zarrow in a manner that violates any applicable law, regulation, export control requirement, privacy law, contractual restriction, confidentiality obligation, employment obligation, non-solicitation obligation, non-compete obligation, platform policy, Job Post condition, or third-party right; or
  12. help, encourage, permit, or enable any other person to do any of the above.

Zarrow may suspend, restrict, terminate, or take other appropriate action in relation to any account, access, content, Candidate Referral, Job Post, workflow, or activity that Zarrow considers to be in breach of this Section or otherwise harmful to Zarrow, the Platform, or any User.

4. User Role Specific Terms

4.1 Employer Terms

Employers are responsible for the hiring requirements, job descriptions, compensation details, company information, interview processes, feedback, communications, decisions, and other information or materials they provide through or in connection with Zarrow.

Employers must use Candidate information received through Zarrow only for evaluating the relevant Candidate for the relevant hiring requirement or for any other purpose expressly permitted by Zarrow or by applicable written terms. Employers must not misuse, disclose, retain, or process Candidate information in violation of applicable law, these Terms, the Privacy Policy, the applicable employer agreement, or any Candidate consent.

Employers are responsible for ensuring that their use, collection, storage, disclosure, and processing of Candidate information complies with applicable law. Zarrow may require Employers to enter into a separate employer agreement or role-specific terms before accessing certain features, Candidate Referrals, recruitment workflows, or services.

Any communication, instruction, approval, confirmation, role requirement, Candidate-related information, or commercial understanding shared between an Employer and Zarrow through designated communication channels shall be governed by these Terms, the applicable employer agreement, and any other written terms agreed between the Employer and Zarrow, unless expressly stated otherwise in writing.

4.2 Recruiter Terms

Recruiters are responsible for the Candidate Referrals, candidate information, sourcing methods, communications, representations, notes, resumes, profiles, and other materials they provide through or in connection with Zarrow.

Recruiters must not submit any Candidate Referral or candidate information unless they have the necessary consent, authority, and lawful basis to share such information with Zarrow and, where applicable, the relevant Employer for recruitment-related purposes.

Recruiters must ensure that Candidate Referrals and related information submitted by them are accurate to the best of their knowledge, not misleading, not unlawfully obtained, and not subject to any restriction that prevents submission through Zarrow. Recruiters must not misrepresent candidate interest, candidate consent, candidate availability, employment history, compensation, qualifications, prior relationship, or ownership of any Candidate.

Recruiters are responsible for complying with applicable law, these Terms, platform policies, Job Post conditions, recruiter agreements, confidentiality obligations, contractual restrictions, and any other terms applicable to their participation on Zarrow.

5. Platform Rights, Data and Intellectual Property

1. All rights, title and interest in and to the Platform, including the software, source code, object code, user interface, designs, workflows, processes, algorithms, matching systems, ranking systems, databases, compilations, analytics, reports, templates, documentation, trademarks, trade names, logos, service marks, business names, and all other proprietary materials of Zarrow, whether registered or unregistered, shall remain the exclusive property of Zarrow or its licensors.

2. Subject to these Terms and applicable agreements, Zarrow grants Users a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Platform solely for the purposes permitted by Zarrow.

3. No right, title or interest in the Platform, Zarrow Content, Platform Data, or Zarrow’s intellectual property is transferred to any User, except for the limited access rights expressly granted under these Terms.

4. Users shall not, directly or indirectly, copy, reproduce, modify, translate, reverse engineer, decompile, disassemble, scrape, crawl, extract, download, sell, license, commercially exploit, or create derivative works from the Platform, Zarrow Content, Platform Data, or any part thereof, except as expressly permitted by Zarrow in writing.

5. Users shall not use any Platform Data, including job information, candidate pipeline information, recruiter information, employer information, referral status, pricing, fees, performance data, dashboards, analytics, or platform workflows, to build, train, improve, operate, or assist any competing product, service, database, marketplace, recruitment business, or similar offering.

6. Any suggestions, ideas, feedback, recommendations, or improvements provided by Users regarding the Platform may be used by Zarrow without restriction or obligation, and shall not create any ownership, payment, royalty, or other claim in favour of the User.

6. User Content, Candidate Data and Licence to Zarrow

1. Each User is responsible for its User Content. By submitting or sharing User Content, you represent that you have the necessary rights, consents, permissions, authority, and lawful basis to do so and to permit Zarrow to use and process such User Content in accordance with these Terms, the Privacy Policy, applicable agreements, and applicable law.

2. User Content Standards: You must not submit, upload, share, transmit, or make available any User Content that:

  1. is false, misleading, fraudulent, unauthorised, unlawful, defamatory, obscene, pornographic, sexually explicit, harassing, hateful, discriminatory, threatening, abusive, or otherwise objectionable;
  2. contains viruses, malware, harmful code, or any material intended to disrupt, damage, intercept, access, overload, or interfere with Zarrow, any system, network, account, device, data, or security feature;
  3. contains confidential, sensitive, proprietary, personal, or third-party information that you are not authorised to disclose or share;
  4. infringes, misappropriates, or violates any intellectual property, privacy, confidentiality, publicity, data protection, contractual, employment, or other right of any person;
  5. misrepresents identity, authority, affiliation, qualifications, employment history, compensation, availability, candidate consent, candidate interest, hiring requirement, or relationship with any Candidate, Employer, Recruiter, User, or third party; or
  6. violates applicable law, these Terms, platform policies, Job Post conditions, third-party rights, or any applicable agreement.

3. License to Zarrow: By submitting User Content, you grant Zarrow a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, store, copy, process, analyse, format, transmit, display, disclose, share, and otherwise use such User Content for operating, providing, securing, improving, enforcing, and commercially providing Zarrow and its related recruitment services, subject to applicable law and the Privacy Policy. Zarrow may use User Content, including Candidate information, for recruitment workflows, Candidate Referrals, matching, shortlisting, assessment, communications, duplicate checks, fraud prevention, billing, payments, dispute management, compliance, regulatory obligations, analytics, platform improvement, internal training, AI-assisted processing, improving & training Zarrow’s systems, generation of candidate summaries, recruiter notes, fit signals, rankings, recommendations, and other operational or business purposes connected with Zarrow, subject to applicable law and the Privacy Policy.

4. Zarrow is not required to publish, display, forward, review, accept, retain, or use any User Content. Zarrow may remove, restrict, withhold, reject, modify, disable access to, or otherwise manage User Content where Zarrow considers it necessary or appropriate for legal, compliance, quality, business, platform integrity, user safety, or operational reasons.

5. Users retain ownership of their underlying User Content. However, Zarrow owns all Platform Data, derived outputs, analytics, reports, workflows, models, algorithms, systems, improvements, and materials created or generated by or on behalf of Zarrow using or in connection with the Platform, subject to applicable law and the Privacy Policy.

6. The rights granted to Zarrow under this Section survive termination, suspension, deletion, or expiry of the User’s account or access to the extent required, permitted, or reasonably determined by Zarrow to be necessary or appropriate for recruitment records, Candidate ownership, duplicate/conflict checks, audit, compliance, tax, accounting, legal claims, dispute resolution, fraud prevention, platform integrity, analytics, service improvement, AI-assisted processing, training and improving Zarrow’s systems, enforcement of Zarrow’s rights, and other legitimate business purposes, subject to applicable law and the Privacy Policy.

7. Zarrow shall own all Platform-derived data, outputs, and materials created or generated by or on behalf of Zarrow using or in connection with the Platform, including without limitation aggregated data, de-identified data, anonymised data, non-personal Platform Data, derived outputs, analytics, reports, workflows, models, algorithms, systems, improvements, and related materials. Zarrow may use, retain, reproduce, modify, commercialise, transfer, and otherwise exploit such data, outputs, and materials on a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable basis, subject to applicable law.

7. Complaints and Grievance Redressal

1. Users may report complaints, concerns, or notices relating to User Content, Candidate Referrals, Job Posts, communications, candidate consent, intellectual property rights, privacy rights, confidentiality, platform misuse, user conduct, or any breach of these Terms by contacting Zarrow at team@zarrow.ai or through any grievance mechanism made available on the Platform.

2. A complaint should include sufficient details, supporting information, and contact details to allow Zarrow to review the matter.

3. Zarrow may, subject to applicable law, review, investigate, preserve, remove, restrict, restore, suspend, or take any other appropriate action in relation to the relevant content, account, User, Candidate Referral, Job Post, communication, or activity.

4. Complaints and grievances shall be handled in accordance with applicable law, including the Information Technology Act, 2000, the rules made thereunder, and Zarrow’s internal grievance redressal process.

Note: The Grievance Officer acts in such capacity on behalf of Zarrow Technologies Private Limited. The designation of a Grievance Officer does not create any personal contractual obligation or guarantee by the individual named above.

Zarrow will acknowledge and resolve grievances in accordance with applicable law.

9. Platform Content, User Interactions and Third-Party Services

1. Content, information, communications, Candidate Referrals, Job Posts, feedback, profiles, resumes, notes, and other materials made available through or in connection with Zarrow may be provided by Users or third parties. The person or entity from whom such material originates is responsible for it.

2. Zarrow does not endorse, verify, or guarantee any such material, and expressly disclaims responsibility and liability for any error, omission, inaccuracy, incompleteness, illegality, unreliability, unsuitability, loss, or damage arising from or relating to such material.

3. Zarrow does not guarantee the identity, authority, credibility, conduct, suitability, or reliability of any Employer, Recruiter, Candidate, User, or third party. Each User should independently assess any Employer, Recruiter, Candidate, Job Post, Candidate Referral, communication, or other platform information before making decisions.

4. Each User is responsible for all User Content it submits, uploads, shares, transmits, or otherwise makes available through or in connection with Zarrow, and represents that it has all rights, consents, permissions, authority, and lawful basis required to do so.

5. Each User accesses, uses, relies on, interprets, stores, shares, or acts upon platform information at its own responsibility. Zarrow is not responsible for how any User interprets or uses information obtained through Zarrow, or for any action or inaction taken as a result of such information.

6. User Content and third-party content made available through Zarrow do not represent Zarrow’s views. Zarrow may, but is not required to, monitor, review, moderate, remove, restrict, disable access to, withhold, or take action in relation to any User Content, Candidate Referral, Job Post, communication, account, workflow, or activity in accordance with these Terms, applicable agreements, platform policies, applicable law, or platform integrity requirements.

7. Zarrow may contain links, integrations, references, or access to third-party websites, tools, services, payment providers, identity providers, communication channels, or other external services. Zarrow does not own or control such third-party services and is not responsible for their content, availability, accuracy, security, terms, privacy practices, charges, acts, or omissions.
8. Your use of any third-party service is at your own responsibility and may be governed by separate terms, policies, fees, and privacy practices of the relevant third party.

9. Zarrow is not required to participate in, resolve, mediate, or adjudicate disputes between Users or between a User and any third party. To the fullest extent permitted by applicable law, you release Zarrow, its directors, officers, employees, representatives, agents, successors, and assigns from claims, demands, losses, liabilities, damages, costs, and expenses arising from or relating to such disputes, third-party services, User Content, Candidate Referrals, Job Posts, communications, or your use of or reliance on information made available through Zarrow.

10. Changes to Services and Terms

1. Zarrow may update, modify, suspend, limit, discontinue, or replace any part of the Platform, Services, features, workflows, content, tools, access rules, eligibility criteria, or platform policies from time to time.

2. Zarrow may also change these Terms or any incorporated policy where necessary or appropriate for business, operational, legal, compliance, security, product, or platform-related reasons.

3. Where Zarrow proposes changes to these Terms, Zarrow may notify Users by email, in-product notice, website notice, or any other reasonable method. Continued access to or use of Zarrow after the effective date of the updated Terms shall constitute acceptance of the updated Terms.

4. If Zarrow requires explicit acceptance of updated Terms or policies, continued access to the Platform or relevant Services may be conditional on such acceptance.

5. Unless expressly stated otherwise, changes to these Terms shall not affect liabilities, payment obligations, indemnities, accrued rights, or obligations that arose before the effective date of the updated Terms.

11. Fees, Invoicing, Taxes and Payments

1. Fees payable for use of Zarrow shall be governed by the applicable employer agreement, recruiter agreement, Job Post terms, role-specific terms, referral policy, invoice, proposal, purchase order, or other written commercial arrangement agreed with Zarrow.

2. Unless expressly agreed otherwise in writing, or the respective User Agreement, Recruiters (Candidate Referrers) and Candidates are not charged a fee for merely using Zarrow. Employers may be required to pay fees for recruitment-related services, Candidate Referrals, placements, hiring support, or other services made available by Zarrow.

4. Unless otherwise agreed in writing, payments to Zarrow shall be made through bank transfer, including NEFT, IMPS, RTGS, or any other payment method specified by Zarrow. A payment shall be treated as received only when the full invoiced or agreed amount is actually credited into Zarrow’s designated bank account, without deduction, set-off, withholding, adjustment, or bank charges, except to the extent deduction is mandatorily required under applicable law.

4. Zarrow may enable payment collection, payment links, payouts, payment processing, or other payment-related services through banks, payment gateways, payment aggregators, or other third-party providers. Such services may be subject to the terms, policies, charges, settlement timelines, KYC requirements, transaction limits, and other requirements of the relevant provider.

5. Fees payable to Zarrow are exclusive of applicable taxes unless expressly stated otherwise. Users shall be responsible for applicable GST, TDS, withholding tax, duties, levies, charges, filings, reporting, and other tax or compliance obligations arising from their use of Zarrow or any payment under these Terms or applicable agreements, in the manner required under applicable law.

6. Unless expressly agreed otherwise in writing, all bank charges, transfer charges, payment gateway charges, transaction fees, foreign exchange charges, intermediary bank charges, and similar costs relating to a payment shall be borne by the paying party.

7. Users must provide accurate, complete, and current billing, invoicing, tax, and payment-related information required by Zarrow, including legal name, billing address, GSTIN, PAN, purchase order details, authorised contact details, and any other information reasonably required for invoicing, tax, payment, or compliance purposes. Zarrow shall not be responsible for any delay, payment failure, invoice re-issuance, tax mismatch, compliance issue, loss of input tax credit, or other consequence arising from inaccurate, outdated, incomplete, or delayed information provided by a User.

8. Zarrow may withhold, adjust, recover, or set off any payment, payout, reward, credit, or amount where permitted under these Terms, any applicable agreement, Job Post terms, referral policy, invoice, or applicable law.

9. Participation by Users resident outside India is subject to Zarrow’s prior written approval and completion of any tax, KYC, FEMA, foreign exchange, banking, withholding, or remittance documentation required by Zarrow. Zarrow may withhold, defer, reduce, or decline any referral reward or other payment where required for legal, tax, regulatory, banking, foreign exchange, or compliance reasons.

12. Suspension, Termination and Survival

1. You may stop using Zarrow at any time by contacting Zarrow through the applicable designated communication channel or by emailing team@zarrow.ai, subject to any outstanding obligations under these Terms, the Privacy Policy, any User Content licences granted to Zarrow, any applicable agreement, Job Post terms, referral policy, invoice, or other written arrangement with Zarrow.

2. Zarrow may suspend, restrict, limit, or terminate your account, access, role participation, Candidate Referral, Job Post access, workflow participation, or use of any part of the Platform where Zarrow considers it necessary or appropriate, including for legal, compliance, security, business, operational, platform integrity, user safety, payment, quality, or breach-related reasons.

3. Zarrow may also take action where it believes that you have violated these Terms, any applicable agreement, platform policy, Job Post condition, third-party right, applicable law, or where your conduct may harm Zarrow, the Platform, any User, Candidate, Employer, Recruiter, or third party.

4. Zarrow has the right to determine whether a breach or platform issue has occurred and what action, if any, should be taken. No User has the right to enforce these Terms against another User merely because such other User may have breached these Terms.

5. Stopping use of Zarrow, or suspension, restriction, or termination of access, does not affect any accrued rights, liabilities, payment obligations, tax obligations, confidentiality obligations, indemnities, dispute rights, User Content licences, or other obligations that arose before or survive such suspension, restriction, or termination.

6. Any provision which by its nature should survive termination shall survive, including provisions relating to platform rights, intellectual property, User Content licences, Platform Data, payments, taxes, confidentiality, warranty disclaimers, limitation of liability, indemnity, dispute resolution, governing law, enforcement rights, and accrued obligations.

7. For clarity, suspension, termination, expiry, deletion, removal, withdrawal, or discontinuation of any account, access, User Content, Candidate Referral, Job Post, workflow, or Platform feature does not limit any rights, licences, retention rights, Platform Data rights, derived-data rights, or survival provisions granted to Zarrow under Section 6 (User Content, Candidate Data and Licence to Zarrow) of these Terms, the Privacy Policy, applicable agreements, or applicable law.

13. Referral Offers and Rewards

1. Definitions

(a) “Referral” means an introduction, sign-up, lead, Candidate Referral, Employer introduction, Recruiter introduction, or other referral activity submitted to Zarrow in the manner required by the applicable Referral Policy or written referral terms.

(b) “Referrer” means the person or entity that submits or makes a Referral.

(c) “Referee” means the person or entity that is referred, introduced, submitted, or otherwise made known to Zarrow through a Referral.

(d) “Referral Reward” means any reward, incentive, credit, discount, payout, commission, benefit, or other value that Zarrow expressly agrees to provide for a valid Referral.

2. A Referral Reward shall be available only where Zarrow has expressly announced, approved, or agreed to it in writing. The eligibility, amount, qualifying event, required action, payment timeline, limits, exclusions, and recovery conditions shall be governed by the applicable Referral Policy, offer communication, platform notice, or written referral terms issued or approved by Zarrow.

3. A Referral Reward shall become due only if Zarrow determines that the Referral is valid and the required action has been completed. The required action may include, where applicable, account creation, onboarding, Employer introduction, Recruiter introduction, Candidate Referral, successful hiring, receipt of employer payment, completion of a Guarantee Period, or any other condition stated in the applicable referral terms.

4. Zarrow may reject or disregard any Referral that is duplicate, self-generated, fake, misleading, unauthorised, spam-based, abusive, circular, previously known to Zarrow, already in progress, previously referred, not a first-time referral where first-time status is required, or otherwise inconsistent with the applicable referral terms.

5. Zarrow may modify, suspend, withdraw, or terminate any Referral Reward offer at any time, subject to any written terms expressly agreed by Zarrow.

6. Zarrow may withhold, reduce, cancel, revoke, recover, claw back, set off, or adjust any Referral Reward if Zarrow determines that the Referral or Referee was invalid, ineligible, abusive, fraudulent, made in breach of applicable terms, affected by refund, reversal, non-payment, dispute, clawback, or paid, credited, redeemed, or used in error.

7. If any Referral Reward has been issued, used, redeemed, or received despite ineligibility or breach of applicable referral terms, Zarrow may require repayment or reimbursement of the corresponding amount or value.

8. A Referral Reward does not create any employment, agency, partnership, brokerage, representative, fiduciary, or other similar relationship between Zarrow and the Referrer or Referee.

14. Recruitment Outcomes, Referral Review and No Guarantees

1. Zarrow may make Job Posts, Candidate Referrals, recruiter opportunities, referral opportunities, rewards, incentives, and recruitment workflows available through the Platform. Their availability does not create any guarantee of access, acceptance, continuation, payment, payout, or outcome.

2. Unless expressly agreed in writing, Zarrow does not guarantee any interview, shortlist, candidate acceptance, employer acceptance, referral acceptance, offer, joining, retention, placement, recruiter earning, payment, payout, reward, role, business opportunity, or commercial result.

3. Zarrow may review, hold, reject, deprioritise, remove, pause, modify, close, reassign, or otherwise manage any Job Post, Candidate Referral, recruiter participation, referral opportunity, reward, incentive, or recruitment workflow where Zarrow considers it necessary or appropriate for quality, business, commercial, operational, compliance, legal, platform integrity, user safety, payment, or service-related reasons.

4. Zarrow does not guarantee that any Job Post, hiring requirement, role, Candidate Referral, referral opportunity, reward, incentive, recruiter access, or workflow will remain available, active, unchanged, exclusive, or open for any particular period, unless expressly agreed in writing.

15. Warranty Disclaimer

1. Zarrow provides the Platform, Services, content, workflows, tools, communications, Candidate Referrals, Job Posts, platform information, recommendations, and related materials on an “as is” and “as available” basis.

2. To the fullest extent permitted by applicable law, Zarrow, its affiliates, licensors, service providers, partners, directors, officers, employees, consultants, contractors, representatives, agents, successors, and assigns (“Zarrow Parties”) disclaim all warranties, representations, conditions, and assurances, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, availability, uninterrupted access, error-free operation, security, reliability, legality, suitability, appropriateness, or copyright compliance.

3. The Zarrow Parties do not warrant or represent that the Platform, Services, or any content or material made available through Zarrow will meet your requirements, remain available without interruption, be free from errors, defects, viruses, harmful code, security incidents, data loss, or unauthorised access, or produce any particular recruitment, hiring, payment, payout, referral, business, or commercial outcome

4. The Zarrow Parties do not make any warranty or representation regarding any Employer, Recruiter, Candidate, User, Job Post, Candidate Referral, resume, credential, employment history, compensation detail, candidate consent, communication, recommendation, ranking, score, shortlist, interview, offer, placement, reward, payment, payout, third-party service, or any product or service offered, purchased, accessed, or used through or in connection with Zarrow.

5. To the fullest extent permitted by applicable law, the Zarrow Parties disclaim responsibility and liability for claims, actions, proceedings, costs, expenses, damages, losses, or liabilities arising from or relating to your access to, use of, reliance on, or participation in the Platform or Services, subject to the specific limitations and exclusions set out in these Terms.

6. Nothing in these Terms excludes or limits any warranty, right, or liability that cannot be excluded or limited under applicable law.

16. Limitation of Liability

1. To the maximum extent allowed by applicable law, and regardless of the legal basis of any claim, including contract, tort, negligence, strict liability, statute, or any other theory, the Zarrow Parties will not be responsible to you or to any other person for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, opportunities, goodwill, data, anticipated savings, accuracy of results, work stoppage, computer failure or malfunction, hiring outcomes, recruitment opportunities, candidate pipeline, or access to the platform.

2. Without limiting the previous clause (Clause 1), the “Zarrow Parties” (as defined previously) shall not be liable for:

  1. any substitute goods, services, technology, sourcing arrangement, recruiter, candidate, employer, role, referral opportunity, or hiring opportunity;
  2. any failure to obtain or continue any job, role, Candidate Referral, interview, shortlist, offer, joining, placement, retention, payment, payout, reward, incentive, business opportunity, or hiring outcome;
  3. any act, omission, decision, communication, delay, default, misrepresentation, or conduct of any Employer, Recruiter, Candidate, User, third-party service provider, or other third party;
  4. any error, omission, inaccuracy, incompleteness, delay, loss, corruption, unauthorised access, security incident, system failure, outage, or interruption relating to the Platform or any data, communication, content, Candidate Referral, Job Post, or third-party service; or
  5. any matter beyond Zarrow’s reasonable control.

3. To the maximum extent permitted by applicable law, the aggregate liability of the Zarrow Parties to you or any other person, arising out of or relating to these Terms, the Platform, the Services, or your use of Zarrow shall not exceed the greater of:

  1. INR 10,000; or
  2. the amounts paid and/or payable by you to Zarrow in connection with the Services during the six (06) months immediately preceding the event giving rise to the claim.

4. The limitations and exclusions in this Section apply whether or not Zarrow was advised of the possibility of such loss or damage, and whether or not any remedy fails of its essential purpose.

5. Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is not permitted under applicable law.

17. Indemnity

1. You agree to indemnify, defend, and hold harmless the Zarrow Parties from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, penalties, costs, and expenses, including reasonable legal fees, arising out of or relating to:

  1. your violation of any applicable law, regulation, or legal obligation;
  2. your breach or violation of these Terms, any applicable agreement, platform policy, guideline, Job Post condition, referral terms, recruiter agreement, employer agreement, or any other terms applicable to your use of Zarrow;
  3. your access to, use of, or participation in Zarrow, including any action taken by any person through your account, credentials, workspace, or authorised users;
  4. any infringement, misappropriation, or violation of intellectual property, privacy, confidentiality, publicity, employment, contractual, data protection, or other rights of any person;
  5. any dispute between you and any Employer, Recruiter, Candidate, User, third-party service provider, or other third party;
  6. any User Content, Candidate Referral, Job Post, communication, information, document, representation, instruction, approval, or material submitted, uploaded, shared, transmitted, or made available by you; or
  7. any fraud, misrepresentation, misconduct, negligence, wilful default, unauthorised act, or omission by you.

2. Zarrow may, at your expense, assume the exclusive defence and control of any matter covered by this indemnity. You must cooperate with Zarrow in the defence, settlement, investigation, or handling of such matters.

3. You must not settle, compromise, or resolve any claim without Zarrow’s prior written consent if the settlement imposes or may impose any obligation, admission, liability, payment, restriction, operational burden, or other adverse consequence on any Zarrow Party.

18. Assignment

1. You must not assign, transfer, delegate, novate, license, sell, share, sublicense, or otherwise transfer any rights or obligations under these Terms, or permit any other person to use your account or Platform access, without Zarrow’s prior written consent.

2. Zarrow may assign, transfer, delegate, novate, subcontract, or otherwise transfer its rights or obligations under these Terms, in whole or in part, where required or appropriate for its business, operations, corporate structure, financing, compliance, service delivery, or platform administration, including to an affiliate, successor, acquirer, service provider, or in connection with a merger, restructuring, reorganisation, investment, financing, sale of assets, transfer of business, or similar transaction.

3. These Terms will continue to apply to, and may be enforced by, the parties and their permitted successors and assigns.

19. Governing Law

These Terms, the Platform, the Services, and any dispute or claim arising out of or relating to them shall be governed by and construed in accordance with the laws of India. Subject to the dispute resolution provisions in these Terms, the courts at Delhi, India shall have exclusive jurisdiction over all court proceedings arising out of or relating to these Terms, the Platform, the Services, or your use of Zarrow.

20. Dispute Resolution and Arbitration Agreement

1. Any dispute, claim, question, or disagreement arising out of or relating to these Terms, the Platform, the Services, any applicable agreement, or your use of Zarrow shall first be addressed through good-faith discussions between the parties.

2. Either party may initiate the dispute process by sending written notice to the other party describing the nature of the dispute and the relief sought. If the dispute is not resolved within thirty (30) days from the date of such notice, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996.

3. The seat and venue of arbitration shall be Delhi, India. The arbitration proceedings shall be conducted in English. Unless mutually agreed otherwise, the arbitral tribunal shall consist of a sole arbitrator appointed in accordance with applicable law. The arbitral award shall be final and binding on the parties.

4. The costs of arbitration shall be borne as determined by the arbitrator, unless otherwise required by applicable law.

5. Notwithstanding the above, Zarrow may seek interim, injunctive, equitable, or other protective relief from any court of competent jurisdiction to protect its intellectual property, confidential information, platform integrity, business operations, user data, candidate data, employer relationships, recruiter relationships, payment flows, or to prevent fraud, misuse, unauthorised access, infringement, breach, or violation of these Terms.

6. Subject to this Section, the courts at Delhi, India shall have exclusive jurisdiction over court proceedings arising out of or relating to these Terms, the Platform, the Services, or your use of Zarrow, including proceedings relating to interim relief, appointment of arbitrator, enforcement or challenge of the arbitral award, or any dispute that cannot be referred to arbitration.

21. Severability

If any provision of these Terms is held to be invalid, illegal, void, or unenforceable, that provision shall be limited, modified, or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall continue in full force and effect.

22. Miscellaneous

1. Waiver: If either party does not exercise or enforce a right under these Terms, that will not be treated as a waiver of that right. Any waiver must be given in writing and will apply only to the specific matter for which it is given.

2. Force Majeure: Where Zarrow has any obligation or responsibility under these Terms or any applicable written agreement, Zarrow shall not be responsible or liable for any delay, interruption, suspension, failure, or non-performance arising from events or circumstances beyond Zarrow’s reasonable control. Such events may include natural disasters, fire, flood, epidemic, pandemic, war, terrorism, riots, civil unrest, labour disputes, governmental or regulatory action, changes in law, court orders, internet or telecommunications failures, power outages, cyberattacks, security incidents, platform outages, payment system failures, third-party service failures, cloud provider failures, or any other event or circumstance beyond Zarrow’s reasonable control. Nothing in this Section shall be construed as expanding Zarrow’s duties, warranties, liabilities, or responsibilities beyond those expressly set out in these Terms or any applicable written agreement.

3. Taxes and Compliance Except where expressly stated otherwise in these Terms or any applicable written agreement, each User is responsible for its own tax, withholding, filing, reporting, invoicing, registration, and compliance obligations arising from its use of Zarrow, receipt or provision of services, payments, payouts, rewards, incentives, or other transactions connected with Zarrow. Zarrow may, where required by applicable law or where it considers appropriate, deduct, withhold, report, collect, deposit, or otherwise deal with taxes, charges, duties, levies, or compliance information in connection with any payment, payout, invoice, reward, incentive, or transaction.

4. Relationship of the Parties Nothing in these Terms, your use of Zarrow, your participation in any recruitment workflow, or any communication with Zarrow creates an employment, agency, partnership, franchise, fiduciary, representative, or joint venture relationship between you and Zarrow. You do not have authority to bind Zarrow, make commitments on behalf of Zarrow, represent that you act for Zarrow, or create any obligation for Zarrow unless Zarrow has expressly authorised you to do so in writing. Recruiters, Candidate Referrers, Employers, Candidates, and other Users act independently and remain responsible for their own actions, omissions, communications, obligations, and compliance.

23. Entire Agreement and Third-Party Beneficiaries

1. These Terms, together with the Privacy Policy, applicable platform policies, Job Post terms, referral terms, employer agreements, recruiter agreements, and other written terms made applicable to your use of Zarrow, constitute the agreement between you and Zarrow for your access to and use of Zarrow.

2. These Terms supersede prior or contemporaneous communications, understandings, or arrangements between you and Zarrow relating to the subject matter of these Terms, except to the extent a separate written agreement expressly states that it will prevail.

3. Zarrow’s directors, officers, employees, consultants, contractors, representatives, agents, affiliates, licensors, service providers, successors, and assigns may rely on and enforce the provisions of these Terms that are intended to protect them, including provisions relating to disclaimers, limitation of liability, indemnity, dispute resolution, and release of claims.

4. Except as expressly stated in these Terms, no other third party shall have any right to enforce these Terms.
